Article III Officers, Sections 4 to 7 of the By Laws define the roles of the Officers of the Board of Directors as follows:

President: The President shall be elected from among the members of the Board. The President shall be the chief executive officer of the Association and shall preside at all meetings of the Association and of the Board. The President shall be subject to the control of the Board and shall exercise general supervision and direction over the management and conduct of the business and affairs of the Association. The President shall also have such other powers and duties as may be provided by these By-Laws or assigned to the President from time to time by the Board.

Vice President: The Vice President shall assume and perform the duties of the President in the absence or disability of the President or whenever the office of the President is vacant. If neither the President nor the Vice-President is able to act, the Board shall appoint some other member of the Board to do so on an interim basis. The Vice President shall also have such other powers and duties as may be assigned to the Vice President from time to time by the Board.

Secretary: The Secretary shall keep the minutes of all meetings of the Association and of the Board, keep the minute book wherein resolutions shall be recorded, give all notices thereof as provided by these By-Laws, maintain and keep a continuous and accurate record of ownership of all Apartments, have charge of such books, documents and records of the Association as the Board may direct, and in general perform all duties incident to the office of Secretary.

Treasurer: The Treasurer shall maintain and keep the financial records and books of account of the Association, prepare regular reports thereof and be responsible for the proper deposit and custody in the name of the Association of all its funds and securities. The Treasurer shall also arrange for the preparation of an annual budget and a statement of income and expenditures.

It is important to note that:

a) no Director of the Board shall be expected to engage in Board related business with any Owners and/or Tenants outside of Board, Special and Annual Meetings or via written correspondence relating to a particular Association/Board matter.

b) Directors of the Board are Owners who volunteer their time and will be respectfully treated as such, by Owners and/or Tenants when not engaging in Board related business outside of Board, Special and AnnualMeetings or via written correspondence relating to a particular Association/Board matter.

c) The Association employs a Site Manager who is fully accountable for all day-to-day property operations, as well as the enforcement of the Association’s Bylaws, House Rules and Regulations.
